These Terms and Conditions (“Terms”) constitute a legally binding agreement between nine 0s by Profit Line (“Company,” “we,” “our,” or “us”) and any individual or entity (“Client,” “you,” or “your”) that accesses our website, purchases services, or engages with our marketing, advertising, consulting, or technology services.

By accessing our website or engaging our services, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use our services.

2. SERVICES PROVIDED

Nine 0s by Profit Line provides marketing, advertising, consulting, and technology services, including but not limited to:

• Paid advertising campaign management
• Content creation and publishing
• Marketing strategy and consulting
• Digital infrastructure and automation
• Custom integrations and middleware
• Data analytics and marketing optimization

Services may vary depending on the agreement with each client.

Nine 0s reserves the right to modify, pause, or discontinue services at any time in accordance with these Terms.

3. PAYMENT TERMS

All services are provided on a prepaid basis unless otherwise agreed in writing.

Clients agree to:

• Pay all invoices in full before the start of service periods
• Maintain valid payment methods
• Cover all applicable taxes or platform costs

Payments may be accepted through:

• Credit / debit card
• PayPal
• Wire transfer
• Other approved payment methods

Failure to maintain payment compliance may result in service suspension.

4. NO PAYMENT – NO SERVICE POLICY

Nine 0s operates under a strict No Payment – No Service policy.

If payment for services is not received by the invoice due date, we reserve the right to immediately pause or suspend services without notice.

Paused services may include but are not limited to:

• Advertising campaign management
• Campaign optimization
• Content publishing
• Media buying
• Data reporting
• Technical integrations
• Middleware or API infrastructure
• Automation systems

Clients acknowledge that service interruptions can negatively impact advertising performance, algorithm learning phases, campaign optimization, and marketing outcomes, and Nine 0s is not responsible for performance declines resulting from service suspension due to non-payment.

5. LATE PAYMENT FEES

If payment is not received within five (5) days after the invoice due date, a late fee of 1% per day will be applied to the outstanding balance.

Late fees will accumulate daily until the balance is paid in full.

Nine 0s reserves the right to suspend services until all outstanding balances and late fees are settled.

6. NON-PAYMENT AND ASSET CONTROL

If invoices remain unpaid thirty (30) days after the invoice generation date, Nine 0s reserves the right to:

• Permanently suspend services
• Restrict system access
• Retain ownership or control of assets created under unpaid services
• Disable campaign infrastructure or integrations

This may include:

• Campaign structures
• Advertising accounts under our management
• Creative assets
• Marketing systems
• Automation infrastructure
• Custom integrations

Assets may only be transferred or released after all outstanding dues are paid in full.

7. OWNERSHIP OF MARKETING ASSETS

Marketing materials created specifically for a client may include:

• Ad creatives
• Campaign structures
• Landing pages
• Copywriting
• marketing systems
• automation workflows

These assets become client property only after full payment has been received for the respective services.

Until payment is completed, Nine 0s retains ownership and control of all deliverables.

8. ADVERTISING PLATFORM DISCLAIMER

Nine 0s manages campaigns on third-party platforms including but not limited to:

• Meta (Facebook & Instagram)
• Google Ads
• LinkedIn
• TikTok
• other digital platforms

Nine 0s does not control these platforms.

We are not responsible for:

• Account suspensions
• Platform policy changes
• Ad disapprovals
• Algorithm changes
• Platform outages
• Changes in advertising costs

Clients acknowledge that these factors are outside the control of Nine 0s.

9. AD SPEND RESPONSIBILITY

Advertising spend is separate from service fees unless explicitly stated otherwise.

Clients are solely responsible for:

• Advertising budgets
• Platform billing charges
• Payment methods associated with ad accounts

Nine 0s does not assume liability for advertising platform charges or billing errors.

10. PERFORMANCE DISCLAIMER

Nine 0s strives to deliver high-quality services and often exceeds agreed deliverables in areas such as:

• campaign management
• content creation
• strategic consulting
• marketing infrastructure

However, no specific results, revenue levels, patient volume, or marketing performance are guaranteed.

Marketing performance is influenced by factors beyond our control, including:

• market conditions
• competition
• pricing strategies
• service quality
• platform algorithm changes
• regulatory environment
• client operational capacity

By engaging our services, clients acknowledge that outcomes cannot be guaranteed.

11. NON-REFUNDABLE SERVICES

All payments made to Nine 0s by Profit Line are non-refundable once services have begun or resources have been allocated.

This includes:

• marketing services
• strategy consulting
• infrastructure development
• campaign management

12. CLIENT RESPONSIBILITIES

Clients acknowledge that marketing performance and lead outcomes depend not only on marketing execution but also on the client’s internal operational processes, including sales responsiveness, customer experience, and service delivery.

To ensure effective campaign performance, clients agree to the following responsibilities.

12.1 Lead Response and Follow-Up

Clients are responsible for actively responding to and following up with leads generated through marketing campaigns.

Best practices require:

• Prompt outreach to new leads (preferably within minutes to a few hours)
• Consistent follow-up attempts through phone, email, or SMS
• Proper lead tracking and status updates
• Maintaining a structured sales process

Failure to promptly follow up with leads may significantly reduce conversion rates. Nine 0s shall not be held responsible for lost opportunities resulting from delayed or insufficient lead follow-up.

12.2 Patient and Client Experience

Clients are solely responsible for the quality of their service delivery and customer experience, including but not limited to:

• Appointment scheduling processes
• Customer service and front-desk interactions
• Sales or consultation quality
• Clinical or service experience
• Post-sale retention and customer care

Marketing can generate demand, but the client’s internal processes determine conversion and retention outcomes.

Nine 0s shall not be liable for outcomes affected by poor customer experience or internal operational inefficiencies.

12.3 Advertising Account Payments

Clients are responsible for ensuring that:

• Advertising accounts remain funded
• Payment methods remain valid
• Advertising budgets are available for campaigns to run continuously

If advertising platforms pause campaigns due to billing issues, insufficient funds, or payment failures, Nine 0s shall not be responsible for performance disruptions caused by such interruptions.

Campaign pauses caused by billing issues can negatively impact campaign optimization and algorithm learning phases.

12.4 Timely Payment for Services

Clients must ensure timely payment of all invoices issued by Nine 0s.

Late or missed payments may result in:

• Campaign pauses
• Suspension of services
• Loss of optimization progress within advertising platforms

Clients acknowledge that campaign interruptions caused by payment delays may negatively impact performance.

12.5 Data Sharing and Feedback

To optimize marketing campaigns, clients must provide relevant performance data, including but not limited to:

• Lead conversion outcomes
• Appointment bookings
• Closed sales or patient acquisition data
• Customer feedback and lead quality insights

This data allows Nine 0s to optimize campaigns toward higher quality leads and improved performance.

Failure to provide performance data may limit campaign optimization capabilities.

12.6 Lead Quality Optimization Process

Nine 0s strives to provide high-quality leads to all clients.

However, marketing optimization is a progressive process that occurs over time.

Campaigns typically move through stages such as:

Initial data collection and lead volume generation

Algorithm learning and audience identification

Campaign optimization toward higher-quality prospects

Clients acknowledge that early campaign stages may prioritize data collection and lead volume, which allows advertising platforms to identify the most responsive audiences.

As sufficient data is gathered, campaigns are optimized toward higher quality leads and improved targeting.

Clients agree to work collaboratively with Nine 0s during this optimization process.

12.7 Lead Management Systems

Clients are responsible for maintaining an internal system to manage and follow up with leads, which may include:

• Sales representatives
• Front desk teams
• CRM systems
• appointment coordinators

12.8 Optional Call Center Services

In some engagements, Nine 0s may deploy call center or lead qualification systems to assist with lead management.

Such services must be explicitly defined in the service agreement and may involve additional fees.

Unless such services are specifically included in the agreement, clients remain fully responsible for lead follow-up and conversion activities.

12.9 Collaboration Requirement

Marketing success requires active collaboration between the client and Nine 0s.

Clients agree to:

• Provide timely feedback
• Participate in campaign reviews
• Share operational insights that affect lead quality

Lack of communication or cooperation may limit campaign performance.


13. INTELLECTUAL PROPERTY

Nine 0s retains ownership of:

• proprietary frameworks
• marketing methodologies
• internal software tools
• strategic systems

Clients receive usage rights only for the duration of the engagement unless otherwise agreed.

14. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Nine 0s shall not be liable for:

• indirect damages
• loss of revenue
• loss of advertising performance
• business interruptions
• platform bans or restrictions

Total liability shall not exceed the amount paid for services in the previous 30 days.

15. TERMINATION

Nine 0s reserves the right to terminate services if:

• invoices remain unpaid
• clients violate platform policies
• clients breach these Terms

Termination may occur without notice in cases of fraud, abuse, or legal violations.

16. GOVERNING LAW

These Terms are governed by the laws of the State of Florida, United States.

17. MODIFICATIONS

Nine 0s reserves the right to update these Terms at any time.

Updates will be posted on the website and become effective immediately upon publication.
